1. Acceptance of these terms
These Terms of Service ("Terms") are an agreement between you and LocalShouts, Nashik, Maharashtra, India. They cover your use of our website and our products: Digital Profile, AI Agent and AI Reviews (the "Services").
By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you sign up for a business, you confirm you are authorised to bind that business.
2. Our services
- Digital Profile — a public business profile with contact actions, products, services, QR code and analytics.
- AI Agent — an AI assistant that answers calls, WhatsApp messages and website chats, captures leads and books appointments.
- AI Reviews — tools to collect feedback, suggest reviews and track your online reputation.
Each product may also have its own plan details and feature limits, shown at sign-up.
3. Your account
- You must be at least 18 and give accurate, up-to-date information.
- Keep your login details secure. You are responsible for all activity under your account.
- Tell us right away at [email protected] if you suspect unauthorised access.
4. Plans, billing & refunds
- Prices are in Indian Rupees (₹) and exclude GST unless stated.
- Paid plans are billed in advance for the period you choose. Usage-based items, such as AI Agent minutes or review credits, are limited to what your plan includes.
- Plans renew automatically unless you cancel before the renewal date. You can cancel at any time from your dashboard.
- Fees already paid are non-refundable, except where required by law or stated in writing by us.
- Refill or top-up credits are valid only until your current plan expires.
- If a payment fails, we may pause paid features until it is resolved.
5. Free plans and trials
We may offer free plans or trials with limited features. We can change or end them at any time. At the end of a trial, you will need to choose a paid plan to keep using paid features.
6. Acceptable use
You agree not to:
- Break any law, or infringe anyone's rights.
- Publish false, misleading, offensive or unlawful content on your Digital Profile.
- Use the Services to send spam, unsolicited marketing or messages to numbers on the DND registry without consent.
- Impersonate any person or business.
- Try to hack, overload, copy or reverse engineer the Services.
- Resell the Services without our written permission.
7. AI Agent: calls and messaging
- You must have the right to use any phone number or WhatsApp account you connect.
- You are responsible for getting any consent needed to record calls and contact customers, and for following TRAI rules and WhatsApp Business policies.
- The AI Agent tells callers they are speaking with an AI assistant. You agree not to disable or hide this.
- You are responsible for the information, prices and promises the AI Agent shares based on your setup. Please review conversations regularly.
8. AI Reviews: review practices
- Reviews must come from real customers about real experiences.
- AI-written suggestions are a starting point. Customers decide whether to post and can edit freely.
- You must not offer payment, discounts or gifts in exchange for reviews, post reviews yourself, or post reviews about competitors.
- You must follow the policies of Google and any other review platform. These platforms may remove reviews or act against your listing. LocalShouts is not responsible for their decisions.
9. Your content
You own the content you add to the Services, such as profile details, photos, scripts and knowledge base files ("Your Content"). You give LocalShouts a non-exclusive licence to host, process, display and transmit Your Content only to provide and improve the Services.
You confirm you have the rights to Your Content and that it does not break any law or third-party rights.
10. Our intellectual property
The Services, including our software, designs, the LocalShouts name and logo, are owned by LocalShouts and protected by law. We give you a limited, non-transferable right to use the Services under these Terms. Feedback you send us may be used freely to improve our products.
11. Third-party services
Some features rely on third parties, such as Google, Meta/WhatsApp, telephony providers, AI model providers and payment gateways. Their terms also apply to your use of their services. We are not responsible for their availability, changes or actions.
12. Availability and changes
We work to keep the Services available and reliable but do not guarantee they will be uninterrupted or error-free. We may add, change or remove features. If we remove a major feature from a paid plan, we will tell you in advance.
13. Suspension and termination
You can close your account at any time. We may suspend or close your account if you break these Terms, fail to pay, or if your use creates legal or security risk. Where reasonable, we will warn you first. After closure, you can request an export of Your Content within 30 days.
14. Disclaimers
The Services are provided "as is" and "as available". AI output can be inaccurate or incomplete. We do not promise any specific number of leads, reviews, ratings or sales.
15. Limitation of liability
To the extent allowed by law, LocalShouts is not liable for indirect, incidental or consequential losses, such as lost profits, revenue, data or goodwill. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
16. Indemnity
You agree to compensate LocalShouts for claims, losses and costs arising from Your Content, your use of the Services, or your breach of these Terms or the law.
17. Governing law
These Terms are governed by the laws of India. Courts in Nashik, Maharashtra have exclusive jurisdiction. Before going to court, both sides will try to resolve the dispute informally for 30 days.
18. Changes to these terms
We may update these Terms from time to time. We will update the effective date above, and notify you of significant changes by email or in your dashboard. If you continue using the Services after changes take effect, you accept the updated Terms.
